GAAP net (loss) of $(105) million, or $(0.84) per share, down $15 million or $0.09 per share, year-over-year, respectively.
Normalized Adjusted³ net (loss) of $(10) million, or $(0.11) per share, down $3 million or $0.02 per share, year-over-year, respectively.

Xerox Board of Directors Appoints Louie Pastor as Chief Executive Officer

Feb. 24, 2026 — Xerox today opened The Future of Xerox Production Print, a four-day event for commercial print providers, channel partners and industry leaders across Europe, the Middle East and Africa. Taking place at the Xerox Innovation Centre in Uxbridge, the event features hands-on demonstrations, technology previews and executive briefings designed to accelerate growth in the production print market.

Xerox Holdings Corporation (NASDAQ: XRX) announced today that its board of directors declared a quarterly dividend of $0.025 per share on Xerox Holdings Corporation Common Stock. The dividend is payable on April 30, 2026, to shareholders of record on March 31, 2026.

The board also declared a quarterly dividend of $20.00 per share on the outstanding Xerox Holdings Series A Convertible Perpetual Preferred Stock. The dividend is payable on April 1, 2026, to shareholders of record on March 15, 2026.

Xerox Raises $450 Million for New Joint Venture to Strengthen Balance Sheet and Support Long-Term Strategy

Feb. 17, 2026 — Xerox Holdings Corporation (NASDAQ: XRX) (“Xerox” or the “Company”) today announced the formation and capitalization of a new joint venture (the “Joint Venture”) between Xerox and TPG, a leading global alternative asset management firm. The Joint Venture is structured as an intellectual property holding and licensing entity designed to manage, protect, and monetize certain Xerox IP assets.

The Joint Venture has raised $450 million in aggregate principal amount of financing led by TPG’s credit business, TPG Credit, with participation from other investors, consisting of senior secured term loans and preferred equity (the “Joint Venture Financing”). The proceeds of the Joint Venture Financing were distributed to Xerox and are expected to be used for general corporate purposes, including augmenting liquidity, accelerating the Company’s Reinvention (including the Lexmark integration), and opportunistically addressing the Company’s capital structure over time, which may include the redemption or repayment of debt.

In connection with the Joint Venture Financing, certain subsidiaries of Xerox contributed specific intellectual property assets to the Joint Venture in exchange for equity interests. As part of this structure, Xerox and the Joint Venture entered into a long-term shared services and license agreement that preserves the Company’s full, uninterrupted ability to use the Xerox name, trademark, and other transferred IP across all global operations, ensuring continuity in how Xerox presents itself and serves clients.

NORWALK, Conn., Feb. 12, 2026 — Xerox Holdings Corporation (NASDAQ: XRX) (“Xerox” or the “Company”) today announced the distribution of warrants to purchase shares of Xerox common stock (the “Warrants”), to its eligible securityholders on February 12, 2026 (the “Distribution Date”), in accordance with its previously announced pro rata warrant distribution.

As previously announced, holders of record of Xerox common stock as of February 9, 2026 (the “Record Date”) received one (1) Warrant for every two (2) shares of Xerox common stock held, rounded down to the nearest whole Warrant. Holders of record of Xerox’s 3.75% Convertible Senior Notes due 2030 and Series A Convertible Perpetual Voting Preferred Stock as of the Record Date also received Warrants on a pass-through basis in accordance with the terms governing such securities.

Warrant Terms

Eligibility: Holders of record of Xerox common stock as of February 9, 2026 (the “Record Date”) are eligible to receive Warrants. Holders of Xerox’s Series A Convertible Perpetual Voting Preferred Stock and 3.75% Convertible Senior Notes due 2030 as of the Record Date were also eligible to receive Warrants on a pass-through basis in accordance with the terms governing such securities. Investors should contact their brokers with any questions regarding their holder status.

Distribution Ratio: One (1) Warrant for every two (2) shares of Xerox common stock held as of the Record Date, rounded down to the nearest whole Warrant. No fractional Warrants were issued.

Exercise Price: $8.00 per share of Xerox common stock, subject to certain anti-dilution adjustments and/or amendments as provided in the warrant agreement.

Exercise Methods:

With cash, at any time prior to expiration of the Warrants, and

Using designated outstanding Xerox debt securities at any time prior to the earlier of the expiration of the Warrants and the Bond Exercise Termination (as defined below).

For purposes of exercise using debt securities, a specified principal amount of designated Xerox debt securities will be deemed to satisfy the applicable warrant exercise price, as set forth in the warrant agreement.

The following Xerox debt securities are initially designated as eligible for exercise of the Warrants:

5.500% Senior Unsecured Notes due 2028;

8.875% Senior Unsecured Notes due 2029;

3.750% Senior Unsecured Convertible Notes due 2030;

13.000% Step Up Senior Notes due 2030;

10.250% Senior Secured First Lien Notes due 2030;

13.500% Senior Secured Second Lien Notes due 2031;

Designated Notes Exercise Mechanics: Xerox’s designated notes were issued in multiple authorized denominations, including $2,000, $1,000, and $1, which require different minimum delivery amounts to permit whole-warrant exercises and avoid fractional settlements. For designated notes with an authorized denomination of $2,000, delivery of one note entitles the Holder to exercise 250 Warrants for 250 shares of Xerox common stock, and for designated notes with an authorized denomination of $1,000, delivery of one note entitles the Holder to exercise 125 Warrants for 125 shares. Holders of designated notes with an authorized denomination of $1 must deliver a minimum of $8 in face value to exercise one Warrant for one share of Xerox common stock.

Expiration: The Warrants will expire at 5:00 p.m. New York City time on February 11, 2028, unless an early expiration price condition is triggered.

Notes Exercise Termination: The right to exercise Warrants using one or more series of designated debt securities will terminate if, during any period of thirty (30) consecutive trading days, there are at least twenty (20) trading days (whether or not consecutive) on which the volume-weighted average price (“VWAP”) of Xerox common stock equals or exceeds 50% of the then-applicable exercise price, as further described in the warrant agreement. Following the satisfaction of this condition, the Warrants will remain exercisable for cash in accordance with their terms. The Company may, at its discretion, redesignate certain or all debt securities as eligible for exercise under the warrant agreement.

Early Expiration Price Condition: The Early Expiration Price Condition will be satisfied if, during any period of thirty (30) consecutive trading days, there are at least twenty (20) trading days (whether or not consecutive) on which the VWAP of Xerox common stock equals or exceeds 100% of the then-applicable exercise price. Upon satisfaction of this condition, the Warrants will expire at 5:00 p.m. New York City time on the business day immediately following such twentieth (20th) trading day, or such other date as the Company may elect in accordance with the warrant agreement.

Listing: Xerox has applied to list the Warrants for trading on Nasdaq under the symbol XRXDW, subject to applicable approvals.

GAAP net (loss) of $(73) million, or $(0.60) per share, an increased loss of $52 million or $(0.40) per share, year-over-year, respectively.

Adjusted¹ net (loss) of $(8) million, or $(0.10) per share, down $57 million or $(0.46) per share, year-over-year, respectively.

Xerox Holdings Corporation (NASDAQ: XRX) (“Xerox” or the “Company”) today announced that its Board of Directors has approved a pro-rata distribution of warrants to holders (collectively, the “Eligible Holders”) of Xerox’s common stock, par value $1.00 per share (the “Common Stock”), Series A Convertible Perpetual Voting Preferred Stock (the “Series A Preferred Stock”) and 3.75% Convertible Senior Notes due 2030 (the “Convertible Notes”), as part of the Company’s ongoing capital structure and balance sheet optimization initiatives.

Xerox is committed to strengthening its balance sheet, optimizing its capital structure, and creating long-term value for shareholders. The distribution provides shareholders with warrants issued in proportion to their existing ownership, creating an additional pathway for shareholders to further benefit from the Company’s Reinvention. This structure allows shareholders to choose how to participate, whether by exercising, holding, or transferring their warrants. Holders may exercise their warrants for shares of common stock using cash or, subject to the terms of the warrant agreement, by delivering certain Xerox debt instruments at face value. Exercise using eligible debt instruments reduces our outstanding leverage while preserving liquidity and financial flexibility, which further strengthens our balance sheet and supports our commitment to creating long-term value.

Transaction Overview
On or about February 11, 2026 (the “Distribution Date”), holders of record of the Common Stock as of February 9, 2026 (the “Record Date”) will receive one (1) warrant for every two (2) shares of Xerox common stock held, rounded down to the nearest whole warrant. Holders of record of the Series A Preferred Stock and the Convertible Notes will receive warrants based on the same ratio in the manner determined by the charter governing the Series A Preferred Stock and the indenture governing the 3.75% Convertible Notes, respectively.

Each warrant will entitle the holder to purchase one (1) share of Common Stock at an exercise price of $8.00 per share, subject to the terms and conditions of the warrant agreement.
The warrants will have an expiration date of two (2) years from the Distribution Date, unless the Early Expiration Price Condition (as defined below) is met, in which case the expiration will be accelerated.
The warrants will be distributed at no cost to Eligible Holders, and the Company intends to apply to list the warrants for trading, subject to applicable approvals.

Xerox Named Leader in Quocirca Managed Print Services Landscape 2025

Xerox announced today that Quocirca, a leading global market insight and research firm, has named the company a leader in its 2025 Managed Print Services (MPS) Landscape report. Xerox Appoints Chuck Butler as Chief Financial Officer

Xerox Holdings Corporation (NASDAQ: XRX) today announced the appointment of Chuck Butler as Chief Financial Officer, effective December 3, 2025. As part of the company’s evolving leadership structure and following a mutual decision, Mirlanda Gecaj will be departing Xerox to pursue new opportunities. Her last day will be December 2.

“Mirlanda has played a meaningful role in guiding the company through an important period of transformation,” said Steve Bandrowczak, chief executive officer of Xerox. “On behalf of the Board and leadership team, I thank her for her leadership and contributions and wish her the very best in the future.”

Mr. Butler brings extensive financial and operational expertise to the role and will retain leadership of the Global Business Services organization. His appointment reflects Xerox’s ongoing effort to align its leadership structure with the company’s strategic priorities and strengthen operational integration across the enterprise. Prior to joining Xerox, Mr. Butler served as Senior Vice President and Chief Financial Officer at Lexmark, where he helped guide the company through its acquisition by Xerox in July 2025.
